Terms & Conditions for BOSS LIVE AGENCY

1. Introduction

These Terms and Conditions (“Terms”) govern your relationship with Web Digital Hub Inc. DBA BOSS LIVE AGENCY (“BOSS LIVE AGENCY,” “Agency,” “we,” “us,” or “our”), a U.S.-based talent and digital media management agency located in Gardena, California.

By registering as a talent (“Talent,” “you”) or using our services, you agree to be bound by these Terms and all applicable U.S., federal, and California state laws, including but not limited to:

• The California Labor Code

• U.S. copyright and intellectual property laws

• Federal Trade Commission (FTC) Advertising & Endorsement Guidelines

• California Consumer Privacy Act (CCPA/CPRA)

If you do not agree to these Terms, do not register or use our services.

3. Definitions

• “Services”: Talent representation, live streaming management, contract negotiation, brand deal facilitation, content guidance, and related career development support.

• “Content”: Any live streams, videos, audio, images, or digital creations produced by Talent.

• “Platforms”: Third-party services where Talent broadcasts or posts content (e.g., TikTok, YouTube, Twitch, Kick, Instagram, Facebook, etc.).

• “Brands/Clients”: Companies, advertisers, or partners engaging with Talent through the Agency.

4. Registration and Eligibility

To register with the Agency, Talent must:

1. Be at least 18 years old (or 16+ with a fully signed parental/guardian consent form).

2. Provide complete and accurate information during registration.

3. Update information promptly if changes occur.

4. Verify identity (government ID may be required to comply with anti-fraud and payment regulations).

The Agency reserves the right to accept or reject any application at its discretion.

5. Agency Services

The Agency agrees to provide:

A. Representation & Deal Negotiation

• Negotiate brand deals, sponsorships, partnerships, and collaborations.

• Respond to inbound business requests on your behalf.

• Present commercial opportunities for review and approval.

B. Career & Content Support

• Offer brand positioning, growth advice, and content strategy (non-mandatory).

C. Payment Processing

• Collect payments from brands for deals we facilitate.

• Distribute Talent’s revenue after commission deductions.

D. Exclusivity

Exclusivity applies only if stated in a signed written agreement.
Exclusive agreements may restrict Talent from:

• Working with outside managers

• Signing separate brand deals independently

• Engaging other agents without written approval

6. Talent Obligations

Talent agrees to:

A. Content Responsibilities

• Create original, non-infringing content.

• Comply with U.S. copyright laws (Title 17 U.S. Code).

• Follow all Platform rules, terms of service, and community guidelines.

B. FTC Compliance

Talent must comply with FTC disclosure rules, including clear #ad, #sponsored, or “Paid Partnership” disclosures where required.

C. Revenue Transparency

Talent must inform the Agency of all income earned from:

• Brand deals

• Sponsorships

• Paid collaborations

• Third-party monetization related to Agency-managed activities

D. Conflict Avoidance

Talent may not:

• Enter conflicting/competing deals without disclosure

• Misrepresent the Agency

• Engage in unlawful, harmful, or fraudulent activity

7. Compensation & Payments

A. Commission

The Agency retains 10% to 50% of all gross earnings from deals, contracts, partnerships, or opportunities that the Agency negotiates or facilitates.

B. Payment Timeline

• Payments are issued to Talent within 30 days after the Agency receives cleared funds from brands.

C. Taxes & Financial Responsibility

• Talent is classified as an independent contractor.

• Talent is solely responsible for:

  • Federal & state income taxes

  • Self-employment taxes

  • Sales tax (if applicable)

  • Any tax reporting obligations

The Agency does not withhold taxes.

D. Statements & Disputes

• Monthly earning statements are provided.

• Any dispute must be submitted within 14 days of receiving a statement.

8. Intellectual Property Rights

A. Talent Ownership

Talent retains ownership of their original Content.

B. Brand Usage Rights

For any deal facilitated by the Agency, Talent grants the applicable brand a limited, non-exclusive license to use the Content for:

• Approved campaign duration

• Agreed-upon marketing channels

C. Agency Promotional Use

Talent permits the Agency to use:

• Name

• Likeness

• Content clips

• Logo (if applicable)

for Agency marketing, portfolios, and case studies.

9. Data Protection & Privacy

The Agency processes personal information according to its U.S./California Privacy Policy, consistent with:

• CCPA/CPRA

• CalOPPA

• U.S. federal privacy standards

By registering, Talent consents to data sharing with:

• Brands

• Payment processors

• Contract partners

Data may be retained for up to 7 years for business, accounting, and regulatory purposes.

10. Termination

A. By Talent

30 days’ written notice sent to: boss@bossliveagency.com

B. By Agency

Immediate termination may occur for:

• Breach of these Terms

• Illegal activity

• Fraud or misrepresentation

• Behavior causing reputational damage to the Agency

• Failure to comply with FTC or platform rules

C. Post-Termination Compensation

The Agency retains the right to receive commission for:

• Any deals negotiated during the contract period

• Multi-month / continuing brand campaigns

• Renewals secured during representation

11. Liability & Disclaimers

A. Agency Not Responsible For

• Content created by Talent

• Platform bans, suspensions, penalties, or account loss

• Losses due to external services outside our control

• Technical issues with third-party payment processors

B. Limitation of Liability

To the maximum extent permitted by law, Agency liability is limited to the total fees paid to the Agency during the previous 6 months.

C. Indemnification

Talent agrees to indemnify and hold harmless the Agency from claims arising out of:

• Their Content

• Their actions on Platforms

• Violations of laws, rules, or these Terms

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of:

The State of California, USA

Disputes will be resolved:

1. Through mediation (if mutually agreed), then

2. Exclusively in a Los Angeles County, California court.

13. Miscellaneous

A. Amendments

We may update these Terms with 30 days’ notice via email or Site posting.

B. Force Majeure

We are not liable for delays caused by circumstances outside reasonable control, including:

• Natural disasters

• Power outages

• Cyberattacks

• Government restrictions

C. Assignment

• Talent may not transfer or assign their rights without written approval.

• The Agency may assign rights to affiliates or successors.

D. No Waiver

Failure to enforce any provision does not waive the right to enforce it later.

Talent Acknowledgement

By signing, you confirm the following:

• You are an independent contractor under U.S. law.

• You have read, understood, and agree to these Terms & Conditions.

• You agree to comply with all applicable federal and state laws.
